By downloading, accessing, or using the RoadsideHelpers mobile application (the "App") or website ([www.getroadsidehelpers.com](https://www.getroadsidehelpers.com)), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, please do not use the App. --- ## 1. Introduction RoadsideHelpers is a platform that connects vehicle owners ("Owners") in need of roadside assistance with independent service professionals ("Providers"). The App facilitates the request, dispatch, and payment of services including but not limited to flat tire repair, battery jump-starts, fuel delivery, towing, lockout assistance, and minor mechanical repairs. --- ## 2. The Marketplace Role - **RoadsideHelpers is a Technology Platform:** We do not employ Providers or own service vehicles directly. We merely provide a digital marketplace for Owners and Providers to connect. - **Independent Providers:** All Providers are independent contractors. They are solely responsible for their own actions, safety, vehicles, licensing, and the quality of services they perform on-site. - **No Employment Relationship:** Your use of the App does not create an employer-employee, agency, partnership, or joint venture relationship between you and MS Innovate Labs (SMC-Private) Limited. --- ## 3. Owner Responsibilities By using the App to request a service, you agree to: - **Provide accurate information:** You must provide a correct description of your vehicle (make, model, category), precise breakdown location, and the specific problem you are facing. - **Be present at the location:** You must be available at the pickup/breakdown location to meet the assigned Provider. - **Confirm the service:** You agree to review the estimated price before accepting a Provider request. - **Provide a safe environment:** You must ensure your vehicle is in a reasonably safe condition and positioned safely out of active traffic lanes with hazard lights enabled where possible for the Provider to work on. - **Pay the fees:** You are responsible for all charges associated with the service provided, including base rates, distance fees, fuel costs, key surcharges, platform fees, and cancellation charges. --- ## 4. Provider Responsibilities By accepting a job request, Providers agree to: - **Accept only jobs you can complete:** You must possess the necessary skills, tools, equipment, and identity verification (CNIC scan and live face detection) to safely perform the requested service. - **Arrive on time:** You must travel to the Owner's location and complete the service in a professional and timely manner. - **Professional conduct:** You must treat Owners with respect and refrain from any illegal, abusive, discriminatory, or fraudulent behavior. - **Maintain insurance & safety:** You are solely responsible for ensuring you have valid insurance covering your vehicle, tools, and business operations. - **Honor the agreed pricing:** You must not ask for extra cash or overcharge the Owner beyond the price calculated and agreed upon in the App. --- ## 5. Payments & Wallet - **Digital Wallet:** The App includes an in-app digital wallet feature for seamless payment processing and instant settlement. - **Payment Processors:** Digital wallet top-ups and electronic payments are processed through secure, authorized payment gateways, digital payment processors, mobile wallet providers (including Easypaisa and JazzCash), and financial institutions regulated by the State Bank of Pakistan. - **Commission:** RoadsideHelpers may deduct a platform commission from the total job price before paying the Provider. The commission structure is subject to change and will be communicated transparently. - **Withdrawals:** Providers may withdraw their available wallet balance via approved payment methods (JazzCash, Easypaisa, or Bank Transfer). Withdrawals typically process within 24–48 hours. - **Chargebacks & Disputes:** If a transaction is disputed, we reserve the right to hold the involved funds while conducting a review. --- ## 6. Cancellations & Refunds - **By Owner:** You may cancel a request before the Provider arrives. A nominal cancellation dispatch fee may apply if the Provider has already traveled a significant distance toward your location. - **By Provider:** Providers may decline a request. If a Provider accepts and subsequently cancels without valid justification, they may be penalized under our Provider Rating System. - **Refunds:** If a service is not completed as requested or in cases of double-billing, you may be eligible for a full or partial refund credited to your app wallet or original payment method. All refund requests are subject to case-by-case review via `support@getroadsidehelpers.com`. --- ## 7. Ratings and Reviews Owners and Providers are encouraged to leave honest 5-star ratings and written reviews after each completed job. We reserve the right to edit or remove reviews that contain offensive language, personal threats, fraudulent feedback, or content unrelated to the roadside service provided. --- ## 8. Privacy and Data Your use of the App is governed by our **Privacy Policy**. We collect and process real-time GPS location data, vehicle information, contact details, and payment metrics to connect you with nearby service Providers and facilitate safety features. Please review our Privacy Policy to understand how your personal data is collected, used, and protected. --- ## 9. Prohibited Conduct You agree not to: - Use the App for any unlawful, illegal, or unauthorized purpose. - Attempt to bypass the App's payment system or pay the Provider directly outside the App to defraud platform commissions. - Harass, abuse, threaten, or discriminate against other users, Owners, or Providers. - Provide false, misleading, or fraudulent vehicle, location, or identity information. - Reverse engineer, decompile, hack, scrape, or interfere with the App's technical infrastructure or GPS tracking systems. --- ## 10. Limitation of Liability To the maximum extent permitted by applicable law in Pakistan: - **MS Innovate Labs (SMC-Private) Limited** shall not be liable for any indirect, incidental, special, consequential, or punitive damages. - **MS Innovate Labs (SMC-Private) Limited** shall not be liable for pre-existing vehicle damage, personal injuries, or losses arising from the independent actions or mechanical repairs performed by Providers. - RoadsideHelpers' total cumulative liability for any claim shall not exceed the amount you paid for the specific roadside service in question. --- ## 11. Termination We reserve the right to suspend or terminate your account or access to the App at any time, without prior notice, if you violate these Terms, engage in fraudulent or abusive activity, or if we deem it necessary to protect the safety of our platform, Providers, or other users. --- ## 12. Changes to These Terms We may update these Terms from time to time. When significant updates occur, we will revise the version number and update the effective date on this page. By continuing to access or use the App after changes take effect, you agree to be bound by the updated Terms. If you do not agree to the new terms, you must discontinue using the App. --- ## 13. Governing Law & Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the **Islamic Republic of Pakistan**. Any legal dispute, claim, or proceeding arising out of or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts of **Dera Ghazi Khan, Punjab, Pakistan**. --- ## 14.
